General Terms of Sale and Delivery

Our General Sale and Delivery Conditions serve to establish clear terms for transactions. They delineate responsibilities, payment structures, and dispute resolution, fostering transparency and a mutually advantageous business relationship.

1. General information

The following conditions apply for all offers and deliveries from INOTEH d.o.o., hereinafter referred to as INOTEH. Upon placing an order, the Ordering Party accepts these Sale and Delivery Conditions. Any deviations and special agreements require the written form. Other terms and conditions, especially those of the Ordering Party, only apply if they have been recognised in writing by INOTEH. Should any provision of these Sale and Delivery Conditions prove to be fully or partly ineffective, the Contracting Parties shall replace this ineffective provision with a new provision which as far as possible corresponds with the legal and economic purpose of the original provision. This shall not affect the validity of the Contract.


2. Technical documents, expertise, confidentiality

All technical documents remain the property of INOTEH and may not be copied, reproduced or passed on to third parties without written consent. INOTEH reserves the right to make changes. Technical documents, brochures and catalogues as well as product details published online are exclusively for information purposes and are not binding without further express confirmation. Consulting provided by BIBUS employees is provided in good faith but without any warranty from INOTEH.

3. Intellectual property rights

INOTEH remains the owner of all intellectual property rights. Software is provided under licence and not sold. The licence is transferred upon delivery. This licence exclusively entitles the Ordering Party to use the software together with the products supplied. The Ordering Party shall not alter or reverse engineer the software.

4. Scope of delivery

The written or electronic order confirmation from INOTEH determines the scope of delivery. Any services not included in the order confirmation will be separately invoiced.

5. Prices and payment conditions

All prices in the offers are in EUR, excluding VAT. The parity used is EXW at Bistrica ob Dravi, loaded onto the means of transport and suitably packaged.
The payment due date is the date specified on the document serving as the basis for payment, and the amount must be transferred to the seller’s bank account as stated on the document.
Unless otherwise agreed and confirmed in writing by the seller, the payment term is 30 days from the date of delivery.
In case of delayed payment, statutory interest on late payments will be charged.
The seller reserves the right to change the payment term for the current order or to cancel the order altogether if the customer significantly delays or breaches the agreed payment terms.
The buyer is not entitled to withhold payment or offset claims unless such claims are acknowledged by the seller or confirmed by a final court decision.

6. Retention of title

INOTEH retains ownership of the delivered goods until full payment has been received. By signing the contract, the customer authorizes INOTEH to register the retention of title in the official register and to perform all related formalities.

7. Delivery

Delivery is considered completed once the goods are handed over at the dispatch location or to the carrier. Transport is at the recipient’s risk, even if delivery with shipping costs paid is agreed upon.

8. Warranty Conditions

For product defects resulting from poor workmanship or other faults, the statutory warranty for material defects applies in the absence of an express warranty declaration.
The seller guarantees material conformity of goods in accordance with legal provisions and within the statutory deadlines. If the buyer identifies a visible defect upon delivery, they must notify the seller in writing immediately or no later than eight (8) days from the date of delivery.
In case of hidden defects, the buyer must notify the seller in writing no later than six (6) months from the date of delivery, or within two (2) months from the discovery of the defect (for consumers).

9. Complaints

Any complaints regarding product defects must be submitted in writing without delay.

10. Delivery Times

The delivery time begins after the seller’s order confirmation. Any delivery date stated by the buyer is non-binding unless explicitly confirmed by the seller.
The delivery date is considered the date the goods are shipped from the seller’s warehouse or the date the customer is notified that the goods are ready for pickup.
If a down payment is required, the delivery period begins from the date the agreed advance payment is received.
In the case of subsequent changes to the order by the buyer that could affect execution, the seller reserves the right to adjust the delivery time. The seller also reserves the right to make partial deliveries.
A confirmed delivery date may be extended if there are later changes to the buyer’s order (quantity, technical specifications, etc.) or in cases beyond the seller’s control (e.g., delays by suppliers or force majeure).

11. Returns and Exchanges

Product returns and exchanges are only possible by prior agreement. All related costs are borne by the customer.

12. Place of Fulfillment

The place of fulfillment for delivery and payment is the company’s registered office in Bistrica ob Dravi.

13. Dispute Resolution

All disputes between the buyer and seller shall be governed by the laws of the Republic of Slovenia. The competent court in Maribor shall have exclusive jurisdiction for any legal disputes.
